Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and Phasor Labs Inc., the Canadian federal corporation that operates ShrimpHost ("ShrimpHost," "we," "us," or "our"), governing your access to and use of the ShrimpHost managed OpenClaw hosting service, available at www.shrimphost.com (the "Service").

By signing up for or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You may use the Service only if all of the following are true:

  • You are at least 13 years old. If you are between 13 and the age of majority in your jurisdiction, you confirm that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. Users under 13 are not permitted.
  • You are located in Canada or the United States. The Service is not available to users located in the European Economic Area, the United Kingdom, or Switzerland. By signing up, you represent that you are not located in any of these excluded jurisdictions and that you will not access the Service from them. We reserve the right to suspend or terminate accounts that we determine, in good faith, are operated from an excluded jurisdiction.
  • You have not previously been banned or had an account terminated by ShrimpHost.
  • You are entering into these Terms in your individual capacity, or on behalf of an entity for which you have legal authority to bind.

2. The Service

ShrimpHost provides each subscriber with a managed, isolated instance of the OpenClaw AI agent platform. The Service includes:

  • Hosting and operation of your OpenClaw instance on our infrastructure;
  • LLM inference, hosted by us, using one or more underlying models that we select and may change at our discretion to operate the Service;
  • Integrations with SMS, Telegram, Discord, WhatsApp, and our Web UI;
  • The built-in OpenClaw tools (browser automation, terminal access, file management, code execution, scheduled jobs, and others);
  • Persistent storage for your agent's memory, files, and skills.

OpenClaw is an open-source project. ShrimpHost is not the publisher, owner, or maintainer of OpenClaw, and is not affiliated with or endorsed by the OpenClaw project or its contributors. We are not affiliated with the publishers of any underlying LLMs we may use.

3. Account Registration

To use the Service you must create an account and provide accurate, current information, including a valid mobile phone number. You are responsible for:

  • maintaining the confidentiality of your account credentials;
  • all activity that occurs under your account, including all actions your agent takes; and
  • promptly notifying us of any unauthorized access or security incident affecting your account.

You may not share, transfer, or sell your account.

4. SMS Consent

SMS messaging is an optional channel for reaching your AI agent. You can sign up for and use the Service entirely without SMS by signing up with email and reaching your agent through one of the other supported channels (Telegram, Discord, WhatsApp, or our Web UI).

If you sign up with a phone number and tick the SMS opt-in checkbox, you provide your express written consent to receive recurring SMS messages from ShrimpHost and from your AI agent at the mobile number you provide. You may opt out at any time by replying STOP to any message, or opt back in by replying START. Opting out (or never opting in) disables SMS-specific features only — the rest of the Service continues to work. Message and data rates may apply. See the Privacy Policy for full details.

5. Subscription Plans, Billing, and Cancellation

5.1 Plans and prices

Prices are in US dollars and exclude any applicable taxes, which will be added at checkout where required.

5.2 Billing

Subscriptions are billed monthly in advance through Stripe. By subscribing, you authorize us to charge your payment method on each renewal date until you cancel.

5.3 Token and SMS caps

When you reach a usage cap, your agent will stop processing new requests of that type until the start of your next billing cycle, or until you upgrade. We do not charge overage fees.

5.4 Cancellation

You may cancel at any time from your account dashboard. Your access continues until the end of the current billing period; we do not provide prorated refunds for partial months. After cancellation, your instance and Agent Data are deleted within 30 days, as described in the Privacy Policy.

5.5 Plan changes

You may upgrade or downgrade at any time. Upgrades take effect immediately and are prorated; downgrades take effect at the start of the next billing cycle.

5.6 Price changes

We may change subscription prices on at least 30 days' notice by email. If you do not agree to a price change, you may cancel before it takes effect.

6. Acceptable Use

You agree that you will not, and will not direct or permit your agent to:

  • Violate any law or regulation, or facilitate the violation of any law by another person.
  • Infringe any intellectual property, privacy, publicity, or other right of any person.
  • Generate, store, or distribute child sexual abuse material, non-consensual intimate imagery, content that incites violence, harassment, or content that threatens, defames, or stalks any person.
  • Attack, probe, or compromise any computer system, network, or account without explicit authorization — including unauthorized scanning, exploitation, credential stuffing, brute force, DDoS, or any similar activity.
  • Send spam, unsolicited commercial messages, or content prohibited by Canada's Anti-Spam Legislation (CASL) or equivalent US laws (CAN-SPAM, TCPA).
  • Use the Service to develop or train competing AI models, including by scraping, distilling, or extracting model weights or behavior.
  • Resell, rent, or sublicense the Service or your instance to third parties without our prior written consent.
  • Circumvent or interfere with our rate limits, isolation boundaries, security controls, billing controls, or usage caps.
  • Misuse SMS — including sending messages that violate carrier rules, A2P 10DLC requirements, or that would jeopardize our messaging registrations.
  • Use the Service to create or distribute malware, ransomware, or any software designed to harm a computer, network, or person.
  • Interfere with other users of the Service or with the operation of our infrastructure.

We may suspend or terminate your account for any violation of this section, with or without notice.

7. The Autonomous Agent — Your Responsibility

This is important. Your OpenClaw instance is an autonomous AI agent that acts on your behalf. It can:

  • send and receive messages on your accounts;
  • read, modify, and delete your files;
  • execute arbitrary code in its sandbox;
  • run terminal commands;
  • browse the web, including making purchases, submitting forms, and interacting with services as you;
  • run on a schedule, taking actions without your real-time supervision.

You are solely responsible for:

  • the instructions you give your agent;
  • the credentials and integrations you authorize it to use;
  • everything your agent says, sends, or does as a result of those instructions or integrations; and
  • the consequences of those actions, including financial, legal, and reputational consequences.

AI agents make mistakes. They can misinterpret instructions, fall victim to prompt injection from content they read on the web or in your inbox, and take actions you did not intend. Do not give your agent access to credentials, accounts, or systems where a mistaken or hostile action would cause harm you are not willing to absorb.

You also represent that any third-party content your agent accesses (emails, calendars, documents on connected services, etc.) is content you are authorized to access.

8. Your Data

You retain ownership of all data you upload to or generate on your instance, including agent memory, files, message logs, skills, and configurations ("Your Data").

You grant ShrimpHost a limited, non-exclusive, royalty-free license to host, process, transmit, display, and access Your Data solely as necessary to provide, debug, and improve the Service, as described in the Privacy Policy. This license ends when Your Data is deleted in accordance with our retention policy.

You represent and warrant that you have the rights necessary to upload Your Data and grant the license above.

9. Our Intellectual Property

The Service — including the ShrimpHost software, infrastructure, brand, website, and documentation — is owned by ShrimpHost or our licensors and is protected by intellectual property laws. Nothing in these Terms transfers any of those rights to you. OpenClaw and any underlying open-source LLMs we use to operate the Service are governed by their respective licenses.

You may not copy, modify, reverse engineer, or create derivative works of the ShrimpHost-specific components of the Service, except as expressly permitted by these Terms or by applicable law.

10. Third-Party Services

The Service relies on third-party providers (Stripe, Google Cloud, our SMS aggregator, and the messaging platforms you connect). We are not responsible for the availability, performance, or practices of these third parties. Your use of any third-party service is governed by that service's own terms and privacy policy.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of AI outputs, or uninterrupted operation.

In particular, we make no warranty that:

  • the Service will be uninterrupted, error-free, or secure;
  • the AI agent's outputs will be accurate, complete, or appropriate for any purpose;
  • the agent will not make mistakes, take incorrect actions, or be successfully prompt-injected;
  • third-party integrations will function as expected.

Do not rely on the Service for decisions where errors could cause significant harm — including but not limited to medical, legal, financial, safety, or critical infrastructure decisions.

12. Limitation of Liability

To the maximum extent permitted by law:

  • No indirect damages. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost goodwill, arising out of or in connection with these Terms or the Service, even if advised of the possibility of such damages.
  • Liability cap. Our total aggregate liability arising out of or in connection with these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) CAD $100.

These limits apply regardless of the legal theory (contract, tort, or otherwise) and even if a remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless ShrimpHost and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • your use of the Service;
  • the actions of your AI agent;
  • Your Data;
  • your violation of these Terms; or
  • your violation of any law or any third party's rights.

14. Suspension and Termination

We may suspend or terminate your access to the Service immediately, with or without notice, if:

  • you violate these Terms;
  • your account poses a security, legal, or operational risk to us, to other users, or to third parties;
  • you fail to pay amounts owed; or
  • we are required to do so by law.

You may terminate at any time by cancelling your subscription. Sections that by their nature should survive termination (including 8, 9, 11, 12, 13, 15, 16, and 17) will survive.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email and through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree, you may cancel before the changes take effect.

16. Governing Law and Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario for the resolution of any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.

17. General

  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and ShrimpHost concerning the Service and supersede any prior agreements.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Notices. We will send legal notices to the email address on your account; you should send legal notices to us at the address below.
